BYLAWS
RIVER TRAILS HOMEOWNERS’ ASSOCIATION
ARTICLE I
NAME
The name of this organization shall be the River Trails Homeowners’ Association. It shall be operated as a not-for-profit organization.
ARTICLE II
PURPOSE
The purpose of this Association shall be to foster and promote the quality of life in the River Trails area; to assist and represent the members of this Association in all pertinent matters regarding local, state, and federal government; to implement programs for the beautification and improvement of the physical and natural properties in the area; and to generate funds necessary to adequately finance these programs.
ARTICLE III
MEMBERSHIP
Section 1. Membership in this Association shall be open to those persons who reside within the River Trails Addition, Fort Worth, Texas, which is bounded on the north by Trinity Blvd., on the west by Salado Trail, on the south by River Trails Blvd., and on the east by Precinct Line Road.
Section 2. All residents of River Trails may participate in the Association. Dues-paying homeowners/residents shall be entitled to one vote per household pertaining to matters regarding the administration of the Association.
Section 3. Associate Membership is honorary and is accorded to an individual, commercial or private entity performing special or lengthy services in advancing the purpose and/or making more effective the operations of the Homeowners Association. The Executive Committee shall determine the award of this membership. No dues will be required. Contributions may be accepted at the discretion of the Executive Committee.
ARTICLE IV
OFFICE
The principal office and the official mailing address of this Association shall be at such location within the Metroplex as shall be determined by the Executive Committee. The initial registered office and mailing address shall be P.O. Box 185014, Fort Worth, Texas, 76181.
ARTICLE V
OFFICERS
Section 1. The officers of this Association shall be a President, a Vice President, a Secretary, and a Treasurer.
Section 2. The officers of this Association shall be elected in the month of August for a term of one year by a majority of the membership voting. Their term of office shall begin on the first day of the month following the election.
Section 3. The Executive Committee shall appoint a Nomination/Election Committee composed of a Chairperson and three members. This committee shall be in place at least sixty days prior to the annual elections. It shall be the duty of this committee to provide a list of willing candidates to serve in office. Additional nominations from the floor shall be permitted.
Section 4. These officers shall perform the duties as prescribed by these Bylaws.
ARTICLE VI
EXECUTIVE COMMITTEE
Section 1. The officers elected by this Association and the Committee Chairpersons appointed to the Standing Committees by the officers shall constitute the Executive Committee. All members of the Executive Committee shall be dues-paying members of the Association. The Executive Committee as needed may appoint other temporary committees.
Section 2. The Executive Committee shall manage the offices and affairs of this Association.
Section 3. Special Executive Committee meetings may be called by the President or any three members of the Executive Committee and shall be open to all members of the Association. The Executive Committee shall unanimously agree upon the location of such meetings.
Section 4. A majority of its number shall constitute a quorum for transacting official business that comes before the Executive Committee.
Section 5. Any member of the Executive Committee who misses two consecutive meetings or who misses more than three meetings out of any six consecutive meetings shall be terminated from their chairmanship or office and their position shall be filled as provided below. Exceptions to this Section may be approved by a majority vote of the total Executive Committee.
Section 6. The Executive Committee shall fill a vacancy within the Executive Committee.
Section 7. The Executive Committee may authorize any officer of this Association, or any other agent by specific written authorization, to enter into any contract or execute and deliver any instrument in the name of an on behalf of the Association.
Section 8. All checks, drafts, or orders for the payment of money, notes or other indebtedness issued in the name of this Association, shall be signed by at least two of the elected officers.
Section 9. Any funds of this Association may, at the discretion of the Executive Committee, be invested as permitted by law.
Section 10. The Executive Committee may accept on behalf of this Association any contribution, gift, bequest or devise.
ARTICLE VII
MEETINGS
Section 1. The Executive Committee shall meet monthly.
Section 2. An annual meeting shall be held for the purpose of electing officers to the Executive Committee, and for the submission of annual reports for the current year. Notice of the annual meeting shall be made at least seven days in advance stating the time, date, place, and purpose.
Section 3. Special general membership meetings may be called by the Executive Committee or, on submission to the Executive Committee, by a petition signed by ten dues-paying members of the Association stating the purpose for which the special meeting is being called. Notice of the meetings will be given seven days in advance and must specify the location, date, and time of the meeting.
Section 4. The Executive Committee may designate any meeting place within the Metroplex for the purpose of transacting business of the Association for monthly or special meetings.
ARTICLE VIII
STANDING COMMITTEES
It shall be the duty of this committee to promote the improvement of the physical and natural property in the area.
Section 1. A Citizens On Patrol Committee (COPS) shall be composed of a Chairperson and all patrollers who have completed the Police Department training and are recognized by the Fort Worth Police Department CODE BLUE/Citizens On Patrol (COPS) program.
Section 2. It shall be the duty of this committee to patrol River Trails in accordance with the rules of the Fort Worth Police Department CODE BLUE/Citizens On Patrol (COPS) program and to report crime activities to the Executive Committee.
Section 1. A Crime Watch Committee shall be composed of the Chairperson, all Block Captains recognized by the Fort Worth Police Department Crime Watch Program, and all interested residents who will comply with the duties described in Sections 2 and 3 below, but have not completed the Fort Worth Police Department training program.
Section 2. It shall be the duty of this committee to oversee the River Trails Neighborhood Crime Watch activities and report crime activities to the Police Department and the Executive Committee.
Section 3. The Block Captains shall greet new residents; conduct Crime Watch meetings and forward complaints and/or suggestions to the Executive Committee.
Section 1. This committee shall be composed of the Chairperson and those interested in volunteering services for special events.
Section 2. It shall be the duty of this committee to foster and promote special events and activities to enhance the quality of life in River Trails.
Section 1. This committee shall be composed of the Chairperson and those interested in encouraging and maintaining membership in the Association.
Section 2. It shall be the duty of this committee to keep updated information on all Association members including move-in dates, current telephone numbers, etc.
Section 3. This committee will also be responsible for conducting the annual membership drive and promoting membership in the Association.
Section 1. A newsletter Committee shall be composed of a Chairperson/Newsletter Editor and members as needed to assist with duties that may include distribution, advertising, and printing.
Section 2. It shall be the duty of this committee to distribute all flyers, newsletters, and other printed materials, which have been approved by the Executive Committee.
Section 1. A Project committee shall be composed of the Project Committee Chairperson and the Chairpersons of all temporary committees.
Section 2. It shall be the duty of this committee to report on any and all activities of the temporary committees. The President or the Executive Committee may appoint temporary committees as deemed necessary to carry on the work of this Association.
It shall be the duty of this committee to continue to work with the Parks Department on the playground and park; to look for additional ways to improve Trinity Blvd.; and to continue to work with the neighborhood builders and developers to promote the development of River Trails in a compatible manner.
It shall be the duty of this committee to work with the Fort Worth Traffic Division on the promotion of pedestrian safety and traffic safety needs. It will also be the contact source for the needs and maintenance of traffic signs, speed humps, and other traffic-related devices.
It shall be the duty of this committee to produce welcome packets and assist with the greeting and introduction of new residents to River Trails, the Homeowners Association, and the surrounding area.
It shall be the duty of this committee to monitor and report on all issues involving zoning/code compliance and variances that may affect River Trails.
ARTICLE IX
DUES
Annual dues shall be twenty-five dollars ($25.00), per household per annum or any other amount approved by the Executive Committee, payable during the month of September. This amount shall be pro-rated as necessary for new residents.
ARTICLE X
AMMENDMENT(S) TO THE BYLAWS
These Bylaws may be amended by a two-thirds majority of this Association’s membership present at any meeting provided a written notice of the vote on amendment(s) has been given to the membership at least two weeks prior to that meeting. Such amendment(s) shall be effective as of the date of enactment.
ARTICLE XI
RULES OF PROCEDURE
This Association in all cases not specifically provided for in the Bylaws shall use the Roberts Rules of Order, newly revised.
